our side, nor are Health, Acts of Nature, or Unplanned outages

strange, or unexpected circumstances beyond the control of the operator.
However, in every case. The relationship between FREE AMERICA USA and
all members will remain a Promise to help, support and provide as timely
as possible, the services noted (and more as we grow) to it's members.
2. DESCRIPTION OF OUR SERVICES & WEBTOOLS
FREE AMERICA USA provides our Paid Members with unlimited access to
resources, tools, services, our personalized format and software
(We call one of our Services).
We hope you also see our point of view, in that FREE AMERICA USA needs
members to agree to place Only (One) Link or Banner advertisement on any
Webpage created by us. And that members understand these advertisements
are necessary for FREE AMERICA USA to continue to provide all the Services.
(In Other Words; If FREE AMERICA USA does not succeed
(Bottom Line...Make Money), We won't be able to serve OUR MEMBERS The Quality
Services We All Need to SUCCEED!)
So, when we want to build, and enhance the Services we offer to our Members,
with NO expense (except the initial signup fee for Lifetime Service).
Advertising is Our Only Logical Process of Duplication for Our Site.
When You Agree to Join. We are Bound by Our Business Ethics of Honesty,
to let You know ALL FREE AMERICA USA Services are provided to You... "AS-IS"!
Ultimately, FREE AMERICA USA assumes no responsibility for the timeliness,
misuse, or failure of Our Members to maintain proper online practices. Our
Members are Soley Responsible for their actions, and In No-way represent
the opinions, practices, services, web usage of FREE AMERICA USA in any form.
Members are responsible for obtaining access to Our Services. All access
to FREE AMERICA USA Services may involve a third party (and 3rd party fees
such as the MEMBERS'S Chosen Internet Service Provider "ISP").
FREE AMERICA USA is not, and cannot, be held responsible for any
of those fees, including any fees associated with, or requested for,
the display and/or for delivery of any form of advertisements.
Finally, and in addition to the above. As a Member of FREE AMERICA USA,
you (THE MEMBER) must provide and will be solely responsible for any/all
equipment necessary/required to access any/all of the FREE AMERICA USA
Services.

certain portions of Our Services may contain material directed at
adult or mature content and subject matter. Therefore, You, and anyone who

We reserve the right to refuse access to OUR Members Only site,
(or any portion of the Members only sites thereof). FREE AMERICA USA is
absolutely concerned with the ONLINE SECURITY-SAFETY & PRIVACY
of OUR MEMBERS, AND SPECIFICALLY CHILDREN. For this reason, Members of
FREE AMERICA USA who are parents or legal guardians of children
under the age of 13 who allow their children the access to ANY
FREE AMERICA USA Service, Do so Without Consent, or Responsibility,
Recommendation of FREE AMERICA USA.
PLEASE REMEMBER..ADULTS ARE RESPONSIBLE FOR THE ACTIONS/ACCESS TO THE

5. MEMBER ACCOUNT & YOUR SECURITY
As mentioned in section 4. We Hold all Personal Information related
to Your Account; Name, Email Address, URL's, Signup data completely
CONFIDENTIAL. (We do not have access to Your Credit Card Information
which is Held by PAYPAL.COM only)
YOUR ACCOUNT INFORMATION IS TOTALLY SAFE!
6. MEMBER CONDUCT
You understand that all Information, Data, Text, Software,
Music, Sound, Photographs, Graphics, Video, Messages or other
Materials ("Content"), whether publicly posted or privately
transmitted, are the sole responsibility of the person from
which such Content originated.
This means that YOU, and not FREE AMERICA USA, are entirely
responsible for all Content that you upload, post, email,
transmit or otherwise make available via OUR Services.
FREE AMERICA USA does not control the Content of Your
FREE AMERICA USA Sites, (SEE BELOW FOR FURTHER DATA). So, we cannot
guarantee the accuracy, integrity or quality of such Content.
As mentioned earlier. We hope you understand that using FREE AMERICA USA
Services, you may be find Content that is offensive, indecent
or objectionable to You and HARMFUL if viewed by children.
Therefore, Under no circumstances will FREE AMERICA USA be
liable in any way for any Content discovered, or found by accident online.
We have no control over searches performed by Members or others who use
our services as guests of members. We also cannot be held liable
for any errors in any Content, or for any loss or damage of any

contractual or fiduciary relationships (such as inside information,
proprietary and confidential information learned or disclosed as
part of employment relationships or under nondisclosure agreements);
6. upload, post, email, transmit or otherwise make available any
Content that infringes any patent, trademark, trade secret,
copyright or other proprietary rights ("Rights") of any party;
7. upload, post, email, transmit or otherwise make available any

telecommunications equipment;
9. disrupt the normal flow of dialogue, cause a screen to "scroll"
faster than other users of the Service are able to type,
or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges;
10. interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service;
11. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
l. "stalk" or otherwise harass another; or
m. collect or store personal data about other users.
You should acknowledge and agree that FREE AMERICA USA may be asked to preserve offensive Content of any sites bearing ANY reference to FREE AMERICA USA, and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOS; (c) respond to claims that any Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of FREE AMERICA USA, its members and the public.

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of OUR FREE AMERICA USA Services, software,

or access to our Services.
11. MODIFICATIONS TO FREE AMERICA USA SERVICES
FREE AMERICA USA reserves the right at any time, and from time to time. to modify or discontinue, temporarily or permanently, the Services (or any part thereof).
We Will however, make every attempt to Inform all Members in a timely fashion, before doing so, with explaination, and estimates of reestablishment to all Members.

12. TERMINATION
You agree that FREE AMERICA USA, in its sole discretion, may terminate your
account (or any part thereof) or use of OUR Services, For violation of any
portion of this Terms Of Service Agreement/ or if FREE AMERICA USA
believes you have violated or acted inconsistently with the letter or spirit of the OUR TOS.
Further, you agree that FREE AMERICA USA shall not be liable to you or any third-party for any termination of your access to OUR Services if violations
of OUR TOS have occured.
13. DEALINGS WITH ADVERTISERS
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree, as a Member of FREE AMERICA USA, we cannot, and shall not be responsible or held liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on any FREE AMERICA USA Member Website using OUR Services.

FREE AMERICA USA Member Websites may provide, or third parties may provide, links to other World Wide Web sites or resources. Because FREE AMERICA USA has no control over such sites and resources, you acknowledge and agree that FREE AMERICA USA is not, and Cannot be held responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that FREE AMERICA USA shall not, and Cannot be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such site or resource found on the World Wide Web (Internet).
15. YAHOO'S PROPRIETARY RIGHTS
You acknowledge and agree that the Service and any necessary software used in connection with OUR Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by the Webmaster of FREE AMERICA USA, or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.
FREE AMERICA USA grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Home Page Website Software on a single computer; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in OUR Software. 16. DISCLAIMER OF WARRANTIES

FREE AMERICA USA MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT FREE AMERICA USA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF FREE AMERICA USA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE OUR SERVICES OR SOFTWARE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED WHICH REFER TO TRANSACTIONS ENTERED INTO THROUGH OR FROM OUR SERVICES; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OUR SERVICES; OR (v) ANY OTHER MATTER RELATING TO OUR FREE AMERICA USA SERVICES.
18. EXCLUSIONS AND LIMITATIONS
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF SECTIONS 17 AND 18 MAY NOT APPLY TO YOU.
19. SPECIAL ADMONITION FOR SERVICES RELATING TO FINANCIAL MATTERS
If you intend to create or join any service, receive or request any news, messages, alerts or other information from OUR Services concerning companies, stock quotes, investments or securities, please read the above Sections 17 and 18 again. They go doubly for you. In addition, for this type of information particularly, the phrase "Let the investor beware" is apt. OUR Services are provided for informational & personal purposes only, and no Content included in OUR Services is intended for trading or investing purposes. Notices to you will be made via email. (If accurate Member data is up-to-date). FREE AMERICA USA may also provide notices of changes to the TOS or other matters by displaying notices or links to notices to you generally via The FREE AMERICA USA Home Site or Via FREE AMERICA USA Member sites.
21. TRADEMARK INFORMATION
The banners and logo's of FREE AMERICA USA may be used to Advertise on
FREE AMERICA USA Member Sites as desired. However, they may not be used in association with any site, name, organization, which is referred to in Paragraph
#.6 above (Member Conduct)
22. COPYRIGHTS and COPYRIGHT AGENTS
FREE AMERICA USA respects the intellectual property of others, and we ask our MEMBERS to do the same.
23. GENERAL INFORMATION
These TERMS OF SERVICE constitute the entire agreement between MEMBERS and
FREE AMERICA USA, and they govern your MEMBERSHIP.
The section titles in the TOS are for convenience only and have no legal or contractual effect.
